Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and KaraoBe (“we,” “us,” or “our”) governing your use of our karaoke web application and related services (the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Eligibility

You must be at least 13 years old, and old enough to form a binding contract in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.

Your account

You can start anonymously; you may also register with an email and password. You are responsible for the activity under your session or account and for keeping your credentials secure. Notify us promptly of any unauthorized use.

What the Service does

KaraoBe turns audio you are authorized to use into karaoke — separating instrumental and guide-vocal stems, synchronizing lyrics, allowing key and tempo adjustments, and scoring your singing. We provide processing tools; we do not grant you any rights to third-party music, lyrics, or recordings.

Content and your responsibilities

You may only upload or process audio that you own or are otherwise authorized to use. You are solely responsible for ensuring you have all necessary rights, licenses, and permissions for any content you submit, and for your use of the outputs. When required, you must truthfully attest that you are authorized before full processing occurs.

You retain your rights in the content you submit. You grant us a limited, non-exclusive, worldwide license to host, process, and display that content and the derived assets solely to operate and provide the Service to you. This license ends when the content is deleted, except for backups retained for a limited period or where retention is legally required.

YouTube and third-party content

YouTube media is not downloaded for preview; YouTube videos are shown through the official YouTube embedded player, and your use of that player is subject to YouTube’s Terms of Service and Google’s Privacy Policy. Where audio ingestion is enabled, it occurs only after you attest that you are authorized, and the source video file is not stored. KaraoBe is not affiliated with, endorsed by, or sponsored by YouTube or Google.

Acceptable use

You agree not to:

• Infringe intellectual property or other rights, or upload content you are not authorized to use;
• Use the Service for any unlawful, harmful, or abusive purpose;
• Interfere with, overload, or disrupt the Service, or attempt to circumvent usage limits, security, or access controls;
• Reverse engineer, scrape, or resell the Service except as permitted by law.

Plans, limits, and fees

The Service is currently offered free of charge subject to usage limits — such as processing quotas and retention windows — that we may adjust to keep the platform sustainable. We may introduce paid plans or features in the future; any purchase will be governed by the pricing and terms presented to you at the time.

Intellectual property

The Service, including its software, design, and trademarks, is owned by KaraoBe and protected by law. These Terms do not grant you any right to our name or branding except as necessary to use the Service.

Copyright and takedowns

We respond to notices of alleged infringement and maintain a repeat-infringer policy. See our Copyright & Takedown Policy to submit a report.

Termination

You may stop using the Service and delete your content at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate.

Limitation of liability

To the maximum extent permitted by law, KaraoBe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.

Indemnification

You agree to indemnify and hold KaraoBe harmless from claims and expenses arising out of your content, your use of the Service, or your violation of these Terms or the rights of others.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to small-claims court, to the extent permitted by law.

Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
